SUBMITTED CONTENT

When you submit content to Normadealer.com you simultaneously grant Norma an irrevocable, worldwide, royalty-free license to publish, display, modify, distribute, and syndicate your content worldwide. You confirm and warrant that you have the required authority to grant the above license to Normadealer.com.

TERMINATION OF AGREEMENT

The Terms of this agreement will continue to apply in perpetuity until terminated by Norma with or without notice at any time for any reason. Terms that are to continue in perpetuity shall be unaffected by the termination of this agreement.

PRODUCT SELECTION

Before entering an order with Norma, you must confirm that you are not prohibited from purchasing any Norma products. You, alone, are responsible for knowing and confirming that you are not prohibited from making any such purchases. You agree that Norma shall not be responsible to refund the purchase price or accept the return of any products on the basis of inability to legally purchase or own the products.

PRICES

Prices are in U.S. Dollars and are subject to change without notice. Time of payment is of the essence. All orders are accepted subject to Norma’s price in effect at time of purchase.

TAXES

You shall pay Norma, in addition to the purchase price, the amount of all fees, duties, licenses, tariffs, all sales, use, privilege, occupation, excise, or other taxes, federal, state, local or foreign, which Norma is required to pay or collect in connection with the products sold to you. Failure by Norma to collect any such fees or taxes shall not affect your obligations hereunder with respect to such tax obligations.

ORDERS

Your order is placed subject to the availability of stock. In case of shortage of supply, Norma shall inform you via email of any delay associated with your order, any backorders, or partial delivery or cancellation of the order. Upon receipt of such information, you may accept any delay in delivery or seek reimbursement for the price of the unavailable ordered. Reimbursement shall be made in the same manner as payment was tendered by you. Norma shall not be held liable for any delay or cancellation of your order.

TITLE

Norma shall retain full ownership of its products until the complete payment of the sales price and incidental costs is made by you and received by Norma.

COMPLIANCE WITH LAWS

You are solely responsible for knowing all laws, rules, or regulations applicable in the state where you reside for any products purchased from Norma. Norma shall not be responsible, nor liable to you or any third-parties for your unlawful purchase or possession of any Norma products. As a condition of purchase, you hereby confirm that you are of legal age to own all Norma products purchased and that your purchase or ownership of any such products is not in violation of any applicable laws, rules or regulations.

INDEMNIFICATION

You agree to indemnify, defend and hold Norma, and its officers, directors, employees, agents and suppliers, harmless for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use Normadealer.com, your violation of any terms herein, or your violation of any applicable laws, rules, or regulations. Norma reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Norma in asserting any available defenses.

CLASS ACTION WAIVER

You agree that any claim, lawsuit, or action that you may have against Norma or its officers, directors, employees, agents, and suppliers will be brought on an individual basis. You also expressly agree not to bring or be part of any class or group actions or lawsuits related to your purchase, possession or use of Norma products. YOU AGREE THAT YOU MAY NOT BRING A CLAIM, ACTION, OR LAWSUIT AS A CLASS PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/OR REPRESENTATIVE PROCEEDING.

DISCLAIMER OF WARRANTIES

The information, software, products, and services included in or available through Norma’s website may include inaccuracies or typographical errors. Changes are periodically added to the information herein. Norma may make improvements and/or changes in the site at any time. You understand and agree that your use of Normadealer.com is entirely at your own risk and that our services are provided “As Is” and “As Available”. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, COMMERCIAL LOSSES, BUSINESS REPUTATION OR GOODWILL, LOSS OF PROGRAMS OR INFORMATION OR OTHER INTANGIBLE LOSS ARISING OUT OF THE PURCHASE, USE OR POSSESSION OF THE NORMA PRODUCTS, THE USE OF OR THE INABILITY TO USE THE SERVICE, OR INFORMATION, OR ANY PERMANENT OR TEMPORARY CESSATION OF SUCH SERVICE OR ACCESS TO INFORMATION, OR THE DELETION OR CORRUPTION OF ANY CONTENT OR INFORMATION, OR THE FAILURE TO STORE ANY CONTENT OR INFORMATION. THE ABOVE LIMITATION SHALL APPLY WHETHER OR NOT NORMADEALER.COM HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES AND WHETHER OR NOT BASED UPON NORMA’S NEGLIGENCE OR BREACH OF WARRANTY OR STRICT LIABILITY IN TORT OR ANY OTHER CAUSE OF ACTION. IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED THE LIABILITY OF NORMADEALER.COM IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. NORMA WILL NOT BE LIABLE TO YOU FOR ANY LOSS, DAMAGE, OR INJURY TO PERSONS OR PROPERTY RESULTING FROM THE HANDLING, STORAGE, TRANSPORTATION, RESALE, OR USE OF ITS PRODUCTS, OR IN COMBINATION WITH OTHER SUBSTANCES, OR OTHERWISE. IN NO EVENT WILL NORMA’S LIABILITY UNDER THESE TERMS AND CONDITIONS OR IN CONNECTION WITH THE SALE OF PRODUCTS EXCEED THE PURCHASE PRICE OF THE SPECIFIC PRODUCTS OR SERVICES AS TO WHICH THE CLAIM IS MADE.

LIMITATIONS OF ACTIONS

NOTWITHSTANDING ANY CONTRARY STATUTE OF LIMITATIONS, ANY CAUSE OF ACTION AGAINST NORMA BY YOU, WHETHER OR NOT BASED UPON NORMA’S NEGLIGENCE OR BREACH OF WARRANTY OR STRICT LIABILITY IN TORT OR ANY OTHER CAUSE OF ACTION, SHALL BE BARRED UNLESS COMMENCED BY YOU WITHIN ONE (1) YEAR FROM THE ACCRUAL OF SUCH CAUSE OF ACTION.

FORCE MAJEURE

Norma shall not be liable for failure to perform or delay in performance or delivery of any products or services due to (a) fires, floods, strikes, or other labor disputes, accidents, sabotage, terrorism, war, riots, acts of precedence or priorities granted at the request or for the benefit, directly or indirectly, of any federal, state, or local government or any subdivision or agency thereof, delays in transportation or lack of transportation facilities, restrictions imposed by federal, state or local laws, rules or regulations, pandemics, epidemics, government-required closures or quarantines; or (b) any other cause beyond the control of Norma. In the event of the occurrence of any of the foregoing, the time for performance shall be extended for such time as may be reasonably necessary to enable Norma to perform. Norma may, during any period of shortage due to any of the above circumstances, allocate its available supply of products or services among itself and its purchasers in such manner as Norma, in its judgment, deems fair and equitable.

EXTERNAL CONTENT

Normadealer.com may include hyperlinks to third-party content, advertising, or websites. You acknowledge and agree that Norma is not responsible for and does not endorse any advertising, products, or resource available from such resources or websites.

LAW AND JURISDICTION

To the maximum extent permitted by law, these terms and conditions are governed by the laws of the State of Georgia. You expressly understand and agree to submit to the personal and exclusive jurisdiction of the courts of Chatham County, Georgia to resolve any legal matter arising from this agreement, your purchase or use of Norma products, or related to your use of Normadealer.com. If the court of law having jurisdiction, rules that any provision of the agreement is invalid, then that provision will be removed from the Terms and the remaining Terms will continue to be valid.

ENTIRE AGREEMENT

You understand and agree that the above Terms constitute the entire general agreement between you and Normadealer.com. You may be subject to additional Terms and conditions when you use, purchase or access other services, affiliate services, or third-party content or material.

CHANGES TO THE TERMS

Norma reserves the right to modify these Terms from time to time at our sole discretion and without any notice. Changes to our Terms become effective on the date they are posted and your continued use of Normadealer.com after any changes to Terms will signify your agreement to be bound by them.
